最近拿到一個startup offer
關於RSU的部分offer letter是這樣寫:
Your RSU grant will be subject to vesting conditions.
The first vesting condition is based on your service where the RSU will
vest at a rate of 12/48 the total number of RSUs after your first 12 months
of continuous service, and 3/48 the total number of RSUs on each 3-month
anniversary of continuous service after that.
The second vesting condition is based on the company and requires that
the company IPO or be acquired in a change of control, in either case,
within 7 years of the grant date. Both vesting conditions must occur
for you to receive the shares.
這樣是說除非公司IPO或是被買走, 否則我什麼都拿不到嗎?
公司目前的valuation超過10B, 應該是一定會IPO, 但是valuation可能太高
萬一因為亂七八糟的因素IPO一直拖然後沒人買, 是不是我什麼都不會拿到?

那假設我做了三年都沒被買走或是IPO,走了之後一年IPO我還是會拿到那三年應該vest的RSU嗎? 還是說也都沒有

第一條不是說了嗎?根據你在公司的年資,滿一年vest 1/4,之後每三個月vest 1/16?只要兩個條件都達成就可以領到啊,裡面又沒有寫什麼離職要回收之類的字眼..

2016-03-26 03:53:00和離職沒關，不懂可以直接問HR，很多人第一次進startup都有類似問題，我加入我目前公司時查完網路資料後也是有類似疑慮，HR就一一解釋
